Approve Timesheets

Your approval of contractor time sheets will obligate Providus' Client to pay for the hours stated thereon. Invoices are payable on receipt, but in no event later than fourteen (14) days of the date of the invoice. After thirty (30) days, unpaid invoices are subject to a late fee of one and one-half percent (1.5%) per month of the amount past-due, compounded daily. Client shall pay all reasonable attorney’s fees and other costs and expenses of collection incurred by Providus in enforcing this agreement. Regular, overtime (OT) and double-time (DT) will be calculated as per applicable state and federal laws. In the event you wish to engage a Contractor on a contract basis either while the Contractor is performing legal services for Providus’ Client or within one year of the date the Contractor last performed legal services for Providus’ Client, you agree to engage the Contractor through Providus. In the event you wish to employ the Contractor on a permanent basis either while the Contractor is performing legal services for Providus’ Client or within one year of the date the Contractor last performed legal services for the Client, you agree to pay Providus an additional fee in the amount of 30% of the first year’s estimated gross compensation for attorneys, and 20% of the first year’s estimated gross compensation for non-attorneys, which fee will be due to Providus within ten (10) days of the commencement of employment. All payments are due and payable at Providus' offices in Houston, Harris County, Texas. Any dispute related to the terms or performance of this agreement shall be subject to the laws of the State of Texas, and any lawsuit related to such dispute shall be filed in a court of appropriate jurisdiction in Harris County, Texas. This agreement is binding on individual members or employees of the Client, and their subsequent employer, in the event the Contractor is engaged or employed thereafter at the subsequent employer. The terms of the engagement of Contractor are confidential, and may only be discussed between members or employees of the Client and principals of Providus. If anything stated on this form is in conflict with the terms of a written contract or permanent placement agreement between Providus and Client, the terms of the written contract or permanent placement agreement shall govern.

It is important to note that under state law, Contractors are entitled to an unpaid meal period of twenty minutes beginning no later than five hours after the start of work whenever the period of work is at least seven and one-half hours. These meal periods must be taken and must be reflected on time forms.

The quoted rates shall apply for the first eight (8) hours of work per day and forty (40) hours of work per work week; work shall be invoiced at (i) one and one-half (1-1/2) times the rate for work in excess of eight (8) hours per day, for work in excess of forty (40) hours per work week, and for the first eight (8) hours on the seventh consecutive day of work in a work week, and (ii) two (2) times the rate for work in excess of twelve (12) hours per day and for work in excess of eight (8) hours on a seventh consecutive day of work in a work week, or as otherwise prescribed by law. It is important to note that Contractors are required by state law to be provided with an unpaid meal period of at least thirty minutes for any period of work of more than five hours. If a contractor works more than 10 hours in one day, they are entitled to take a second unpaid meal period. If a contractor works more than 12 hours and waived the first meal period, they cannot waive the second meal period. These meal periods must be taken and must be reflected on time forms. Contractors are also entitled to a ten minute paid rest period for every four hours worked. Such periods need not be entered on time forms; however, they must be taken.

It is important to note that under state law, Contractors are entitled to an unpaid meal period of at least thirty minutes at a time midway between the beginning and end of such employment after the start of any work period of six continuous hours or more. Further, any Contractor working before eleven o'clock in the morning and continuing later than seven o'clock in the evening shall be allowed an additional meal period of at least twenty minutes between five and seven o'clock in the evening. These meal periods must be taken and must be reflected on time forms.
